If you are accessing or using our Website on behalf of a business, you represent and warrant to Brios Services LLC that you have the authority to accept the Terms & Conditions on behalf of that business and that that business agrees to the Terms & Conditions. If you cannot agree with these rules, please do not use the Website.

Brios Services LLC requires that you register and/or set up an account to use certain portions of the Website or the Website as a whole. In order to do so, you may be provided, or required to provide your first name, last name, and email address, then choose a username and a password, and/or provide other registration information (collectively, “Registration Information”). You agree and represent that all Registration Information provided by you is accurate and up-to-date. You may not impersonate, imitate or pretend to be somebody else when registering and/or setting up an account on the Website. If any of your Registration Information changes, you must update it by using the appropriate update mechanism on the Website, if available.

You agree not to display, post, frame, or scrape the Website Content for use on another Website, app, blog, product, or service, except as otherwise expressly permitted by this Terms & Conditions. You agree not to create any derivative work based on or containing the Website Content. The framing or scraping of or in-line linking to the Services or any Content contained thereon and/or the use of web crawler, spidering, or other automated means to access, copy, index, process, and/or store any Website Content made available on or through the Services other than as expressly authorized by us is prohibited.
Other than connecting to Brios Services LLC’s servers by HTTP requests using a Web browser, you may not attempt to gain access to Brios Services LLC’s servers by any means – including, without limitation, by using administrator passwords or by masquerading as an administrator while using the Website or otherwise.
You acknowledge that Brios Services LLC has not reviewed and does not endorse the content of all sites linked to from this Website and is not responsible for the content or actions of any other sites linked to from this Website. The use of links to any service or site is at your sole risk.
4.2 Information Available on the Website
4.2.1 Investigations
This Website contains investigations opened by Brios Services LLC (“Investigations.”). Investigations are posts or pages based on proprietary research. Every day, we compile, non-exhaustively, information about companies in order to open investigation pages on the Website. An Investigation may include other actors’ opinions on public companies; said opinions do not represent the opinion of Brios Services LLC. An Investigation is not supported by any governmental entity and does not purport to imitate an investigation opened by the Securities and Exchange Commission, the Department of Justice, or any other governmental bodies.
4.2.2 Case Referencing
We are in the process of maintaining a database of certain securities lawsuits filed in the United States, for informational purposes (“Cases”). We make no representation, express or implied, as to the accuracy, timeliness, or completeness of any such information or with regard to the results to be obtained from its use.
4.2.3 Timelines
Investigation and Cases will generally contain a “timeline” section, where certain relevant events will be listed in chronological order (a “Timeline”). A Timeline is simply a non-exhaustive list of publicly available statements made by a company and/or other actors/sources regarding actions or statements made by that company. We do not make any representation as to the completeness and accuracy of the Timeline. We reserve the right to modify, delete, or add any event to the timeline at any time.
4.3 Suggesting an Investigation or an Event
While logged in, you may (i) suggest an investigation and (ii) suggest an event to a Timeline. You may do so by respectively using the “Investigate” page on the left dashboard or using the “Suggest an Event” button in the Timeline.
You are responsible for ensuring that any graphics, text, photographs, images, video, audio, or other material you provide to and through the Website, including without limitation in contact, forms, initiation of investigations, contribution to investigations, or elsewhere, does not violate the copyright, trademark, trade secret or any other personal or proprietary rights of any third party or is provided or posted with the permission of the owner(s) of such rights.
You may not provide to the Website any graphics, text, photographs, images, video, audio, or other material that is encrypted, invades anyone’s privacy, or illustrates, references, or encourages conduct that would constitute a criminal offense, give rise to civil liability, or that otherwise violates any local, state, federal, national or international law or regulation. You agree to use the Website only for lawful purposes and you acknowledge that your failure to do so may subject you to civil and criminal liability. Do not provide to the Website any graphics, text, photographs, images, video, audio, or other material that includes instructions for weapon and/or explosive manufacture or use.
4.4 Contact Between Law Firms and Users, no Attorney-Client Relationship
We are neither a lawyer referral service nor a prepaid legal services plan. Certain sections of the Website are dedicated to facilitating interaction between law firms and users and may include attorney advertising, including contact forms on law firm profiles. Any attorney-client relationship formed as a result of interactions between a law firm and a user on this Website is between the user and the law firm—not between Brios Services LLC and the user. Although we have processes in place to confirm the accuracy of information provided by law firms, to the extent that a law firm advertises on our Website, Brios Services LLC cannot be held responsible for the quality or accuracy of any information or legal services provided by lawyers that individuals or entities found via this Website.
By using the Website, you agree that Brios Services LLC will neither reveal your identity nor your info nor forward any graphics, text, photographs, images, video, audio, or other material you provide to the Website without your approval, except as it may be provided in our Privacy Policy and through your use of a contact form on a law firm profile. By using a contact form on a law firm profile, you agree that the information you provide will be sent to the law firm you selected and a copy will be kept by Brios Services LLC.
4.5 Database of Law Firms
We may maintain a list of law firms identifying themselves as working in the securities or derivative field that either contacted us or that we identified in court filings as participating in securities cases. We make no representation, express or implied, as to the accuracy, timeliness, or completeness of any such information or with regard to the results to be obtained from its use.
Being included on our Website or on a list of participating law firms may also require payment from the law firms. We do not vet the qualifications of the participating law firms or whether the law firms hire attorneys in good standing with the respective licensing authorities.
4.6 Paid Advertising
We may offer advertising services to certain law firms. Our services include but are not limited to, subscription services and direct advertising on the Website.
We do not make any representation and have not made any judgment, as to the qualifications, expertise, or credentials of any participating law firm or lawyer. No representation is made that the quality of the legal services or claims processing to be performed is greater than the quality of legal services performed by the law firms. You further acknowledge that (i) no goods or services are purchased with your donation and (ii) donations are not tax-deductible. Ask your tax adviser regarding your donation to Brios Services, LLC. You, the donator, are voluntarily transferring funds or a gift to another, without any consideration nor the expectation of consideration. Any funds received are to help support our company in pursuing the company’s mission: democratize investigations to increase transparency in financial markets and promote coordination between law firms and shareholders.
